Memorandum of Understanding (MOU)

between Bellingham School District and foundry10
for OT/PT Tools and Equipment 2024-25

Grant Term: March 2025 - October 2025

This Memorandum of Understanding serves to outline the terms and conditions of the
agreement foundry10 and Bellingham School District have entered into to support OT/PT Tools
and Equipment 2024-25.

foundry10 is an education research organization with a philanthropic focus on expanding ideas
about learning and creating direct value for youth.

Bellingham School District is located in Bellingham, Washington and serves approximately
11,400 students across 22 schools.

“Grant Term” refers to the time in which the initial expenses related to this project are to be
completed. All risk management responsibilities outlined below for Bellingham School District,
survive the Grant Term.

Proj D ription

The project, referred to in this MOU as OT/PT Tools and Equipment 2024-25 provides $59,000
to Bellingham School District for the purchase of tools and equipment that will foster a more
supportive and inclusive learning environment for all students, particularly those with disabilities.

Types of items to be purchased include:

Sensory Tools

Seating and Positioning Solutions
Inclusionary Equipment

Mobility Support Aids

Learning Environment Accessories
Assistive Technology

Partnership

The collaboration between foundry10 and the Bellingham School District's Occupational and
Physical Therapists aims to enhance the learning environment for all students, particularly those
with disabilities. The partnership supports tools and equipment that address sensory needs,

promote inclusion, and ensure access through mobility and assistive technology, fostering
independence, concentration, and holistic student support.

Expectations Responsibilities of foundry10:

e Hope Donato hope@foundry10.org will serve as the main foundry10 point of
contact for this project.

e foundry10 will provide a check with the lump sum of $59,000 to Bellingham
School District:

Expectations & Responsibilities of Bellingham School District:

e General Responsibilities:

a Bellingham School District will use the funds provided by foundry10
specifically for the project and details within this MOU.

ms If any portion of the funds cannot be used as set forth in this MOU within
grant period, Bellingham School District will contact foundry10 before the
end of the grant term to discuss alternate plans for the remaining funds. If
foundry10 does not agree to these new plans, any remaining funds must
be returned to foundry10 within 90 days of the end of the grant term.

a Bellingham School District will complete a short survey sent by foundry10
to provide feedback on our process and the impact of the grant.

= Bellingham School District and foundry10 will meet in October 2025 to
discuss the impact of the project.

= Bellingham School District has identified that the below listed project
contact will oversee the use of the funds for this project project and will
work to ensure that the project moves ahead in accordance with the terms
of this MOU. Should this contact be unable to oversee the project, the
Bellingham School District signer of this MOU will ensure that another
staff member will be put in place to ensure the project moves ahead.

= Bellingham School District may not make any public announcements
regarding this partnership, without advance written approval by
foundry10.

e Risk Management Responsibilities:

a Bellingham School District is solely responsible for obtaining any needed
waivers and/or hold harmless agreements from the participants or their
parents/guardians who are involved in projects related to these funds.

a Bellingham School District agrees that it and its employees, contractors or
agents shall comply with all applicable federal, state, and local laws,
regulations, and rules and, upon request, shall provide foundry10 with
documentation of such compliance.

sent by foundry10 to provide feedback on our process
and the impact of the grant. Survey will be completed by:

Aside from our commitment to donate the funding described in this letter, foundry10 bears no
responsibility or liability for matters relating to the funded project(s). Nothing in this letter is
intended or shall be deemed, for financial, tax, legal or other purposes, to constitute a
partnership, agency, in loco parentis, joint venture or employer-employee relationship between
foundry10 and Bellingham School District, between foundry10 and the employees who will use
the equipment purchased with this grant, or between foundry10 and any other person or entity.

Bellingham School District shall indemnify, defend, and hold harmless foundry10 and its officers,
directors, employees, agents, affiliates, and contractors from and against any and all claims,
liabilities, damages, losses, expenses, demands, suits, and judgments, including without
limitation reasonable attorneys’ fees and costs, arising from or relating to (a) Bellingham School
District’s performance of this MOU, or breach thereof or (b) the violation of law by, or the
intentional misconduct or negligent acts or omissions of Bellingham School District, its
employees, agents, contractors, or consultants in connection with the performance of its
obligations described in this MOU. This provision shall survive the Grant Term.

By signing this document, we indicate that we are in agreement of the terms of this
Memorandum of Understanding.
