Baker School District and foundry10 for Activities Bus & Junior High Athletics Support 2025-26 Grant Term: April 2025 - June 2026 This Memorandum of Understanding serves to outline the terms and conditions of the agreement foundry10 and Mt. Baker School District have entered into to support Activities Bus & Junior High Athletics Support 2025-26. foundry10 is an education research organization with a philanthropic focus on expanding ideas about learning and creating direct value for youth. Mt. Baker School District is located in Eastern Whatcom County in Northwest Washington State. It serves approximately 1,600 students across three elementary schools, one junior high school, and one high school. “Grant Term” refers to the time in which the initial expenses related to this project are to be completed. All risk management responsibilities outlined below for Mt. Baker School District, survive the Grant Term. Proj D ription The project, referred to in this MOU as Activities Bus & Junior High Athletics Support 2025-26, allocates $225,000 to the Mt. Baker School District to expand support for co-curricular activities. This funding supports the following initiatives for the 2025-26 school year: e $75,000 to support the continued operation of an activities bus, which departs 2.5 hours after school dismissal and safely transports approximately 60 students in grades 7-12 home each day. This service ensures equitable access to co-curricular activities like performing arts and athletics, and also allows students to attend after-school academic support sessions with certified teaching staff. e $150,000 to support continued offerings of junior high school athletics, providing approximately 155 students with access to a variety of sports across four seasons, including softball, wrestling, cross country, and football. This program helps students build positive relationships with adults, and offers opportunities to develop teamwork, goal-setting, and healthy competition. Baker School District previously in order to expand and augment offerings for students in the district. Their goal of expanding access to after-school programs and keep middle school sports running aligns very well with foundry10's goal of increasing access to enhanced learning opportunities for children, especially in the realm of physical fitness. Expectations Responsibilities of foundry10: e Lisa Castaneda (lisa@foundry10.org) will serve as the main foundry10 point of contact for this project. e foundry10 will provide $225,000 to Mt. Baker School District via check. Expectations & Responsibilities of Mt. Baker School District: e General Responsibilities: a Mt. Baker School District will use the funds provided by foundry10 specifically for the project and details within this MOU. ms If any portion of the funds cannot be used as set forth in this MOU within grant period, Mt. Baker School District will contact foundry10 before the end of the grant term to discuss alternate plans for the remaining funds. If foundry10 does not agree to these new plans, any remaining funds must be returned to foundry10 within 90 days of the end of the grant term. = Mt Baker School District will complete a short survey sent by foundry10 to provide feedback on our process and the impact of the grant. a Mt. Baker School District has identified that the below listed project contact will oversee the use of the funds for this project project and will work to ensure that the project moves ahead in accordance with the terms of this MOU. Should this contact be unable to oversee the project, the Mt. Baker School District may not make any public announcements regarding this partnership, without advance written approval by foundry10. e Risk Man ment R nsibilities: ms For related transportation, Mt. Baker School District is solely responsible for the safe transportation of any participants and staff. This includes, but is not limited to: e ensuring the vehicles are in good working order and have the appropriate safety equipment needed for the riders. e ensuring that any drivers have the proper licensure, experience, insurance, and proper supervision. a Mt. Baker School District is solely responsible for obtaining any needed waivers and/or hold harmless agreements from the participants or their parents/guardians who are involved in projects related to these funds. = Mt. Baker School District agrees that it and its employees, contractors or agents shall comply with all applicable federal, state, and local laws, regulations, and rules and, upon request, shall provide foundry10 with documentation of such compliance. e D ific R nsibilities: Date/Timing Mt. Baker School District Responsibility December Mt Baker School District will complete a short survey sent 2025 by foundry10 to provide feedback on our process and the impact of the grant. Survey will be completed by: Name: Nick Perigo Email: nperigo@mtbaker.wednet.edu April 2026 Nick Perigo, or another appropriate district representative, completes a follow-up phone call with Lisa Castaneda to share information about the sports programs, number of students involved and information about the usage of the activities bus. Nothing in this letter is intended or shall be deemed, for financial, tax, legal or other purposes, to constitute a partnership, agency, in loco parentis, joint venture or employer-employee relationship between foundry10 and Mt. Baker School District, between foundry10 and the employees who will use the equipment purchased with this grant, or between foundry10 and any other person or entity. Mt. Baker School District shall indemnify, defend, and hold harmless foundry10 and its officers, directors, employees, agents, affiliates, and contractors from and against any and all claims, liabilities, damages, losses, expenses, demands, suits, and judgments, including without limitation reasonable attorneys’ fees and costs, arising from or relating to (a) Mt. Baker School District’s performance of this MOU, or breach thereof or (b) the violation of law by, or the intentional misconduct or negligent acts or omissions of Mt. Baker School District, its employees, agents, contractors, or consultants in connection with the performance of its obligations described in this MOU. This provision shall survive the Grant Term.
